PROFESSIONAL SATELITTE INTERNET ADVERTSING & BROADCASTING 

SERVICES AGREEMENT

 

 

This Professional Internet Broadcast and Advertising Services Agreement (this “Agreement”)

 

is made and entered into as of the ____ day of ____________________, 20____ (the

 

“Effective Date”), by and between Love's Corporation - 10601 N Pennsylvania Ave.

 

Oklahoma City, OK 73120 (“the Client”) and White Knight Dark Horse Inc., with an office

 

located at 2401 W. Southern Ave, Suite 266 Tempe Arizona 85282 ("the Service Provider”).

WHEREAS, the Client wishes to obtain the professional services of the Service Provider; and,

 

WHEREAS, the Service Provider has the knowledge, skill and capability to perform such services for the Client. THEREFORE, in consideration of the foregoing, the parties, intending to be legally bound, hereby agree to the following:

AGREEMENTS

 

In consideration of the recital and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledge, the parties agree as follows:

 

1. Service Provider Responsibilities;

 

Fees.

Service Provider will perform the Services to the reasonable satisfaction of Client. Assuming such satisfactory performance, the Client shall pay Contractor the amount set forth on Exhibit A within 30 days following the completion of the Services by check or in such other form as the Client may require. Service Provider Contractor is 501 (c)3 Non-Profit Organization and shall be solely and personally responsible for all federal, state and local taxes, contributions and other liabilities with regard to such payments.

 

2. Terms.

The term of this Agreement shall commence the date of this Agreement and continue on a month to month basis until the Client or the Service Provider terminates this Agreement in writing.

 

3. Ownership of Advertising Content.

Service Provider Contractor hereby sells, assigns, grants and transfers to the Client all right, title and interest in any reports, documents or other copyrighted materials authored or created by Contractor for the Client pursuant to this Agreement, including all copyrights, renewals and extensions thereof.

 

4. Relationship.

The parties hereto are independent contractors. Nothing in this Agreement shall be understood or construed to create or imply any relationship between the parties in the nature of any joint venture, employer/employee, principal/agent or partnership. Service Provider shall in no way become an employee of the Client pursuant to this Agreement. Neither party shall have the authority to nor shall either party attempt to create or assume any obligation by or on behalf of the other party.

5. Expenses.

Except as expressly provided to the contrary in this Agreement, all expenses incurred by the parties shall be the sole responsibility of the party who ordered the service or incurred the particular expense.

 

6. Miscellaneous.

This Agreement may not be assigned without the written consent of the other party.

 

Service Provider services are private in nature and may not be assigned or delegated to any other person.

 

This Agreement represents the entire Agreement between the parties and supersedes any prior oral or written understandings with respect to the Services. This Agreement may only be amended by an agreement signed in writing by all of the parties hereto.

 

Service Provider shall require sixty days notice prior to termination of this Agreement.

Upon execution, this Agreement will be a valid and binding obligation

of each party and enforceable in accordance with its terms.

Exhibit A: 

​

I. Description of Primary Broadcasting Services

​

Service Providers Primary Service [will] broadcast the "Clients" commercial advertisements, (6) six minutes of advertising per hour, twenty four hours each day to consumers via a dedicated satellite internet radio application platform only available to Love's Corporation.

 

• Example: 6 X 24 hours

• = 144 advertising minutes per day

•  X 30.35 days per month 

• = 4,370 total advertising minutes per month

II. Description of Secondary Professional Services

​

Service Provider utilizes Professional D J Services to attract and keep listeners engaged and entertained 24/7 by;

   

• Providing fresh, positive and knowledgeable content intended to improve the lives of each American and to preserve and protect our oil & gas industry.

• Playing a variety of popular hit music from the early 20th century up to today

• A mix of stand up comedy

• Nostalgic old time radio programs

• Contests & Giveaways

• Daily News Updates

• National Traffic & Road Closures

• National weather conditions.

 

 

III. Description of Advertising Marketing Services

​

Service Provider [will] inaugurate a well planned, extensive, national, six figure, interstate billboard and social media advertising campaign to attract listeners to Loves.com/Radio 24/7 Satellite Internet Radio Broadcast Station.

Payment for Services

​

The "Client" agrees to pay a one-time, administrative start up fee of $799. per Love's Location to launch this Loves.com/Radio 24/7 Satellite Internet Radio Station App.

​

The "Client" [will] be invoiced on the 1st of each month for the prior months services and is based on the number of listeners according to fee structure & daily rates.
